Legal Notice: These terms constitute a legally binding agreement between you and Vexari Technologies Inc.

1. Acceptance of Terms

By registering for, accessing, or using Vexari AI, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

2. Description of Service

Vexari AI is an autonomous, signal-driven sales intelligence and copy generation platform designed to research prospect signals and generate high-relevance B2B outreach communications.

3. Acceptable Use Policy & Anti-Spam Compliance

Users must comply with all applicable laws governing commercial electronic messaging, including the U.S. CAN-SPAM Act, CASL (Canada), GDPR (EU/UK), and the Australian Spam Act. Specifically, you agree NOT to:

Send deceptive or misleading subject lines.
Distribute malware, phishing links, or unauthorized bulk unsolicited content.
Fail to honor opt-out or unsubscribe requests within 10 business days.
Attempt to scrape, reverse engineer, or compromise the Vexari API architecture.

4. Intellectual Property & AI Generation Ownership

You retain full ownership of all prospect data, sender profiles, and outreach copy generated by your account. Vexari AI retains ownership of its underlying platform, UI components, algorithms, telemetry scrapers, and trademarks.

5. Subscription, Billing & Cancellations

Subscription plans (Starter, Pro, Agency) are billed in advance on a monthly or annual recurring basis. You may cancel your subscription at any time via your account settings. Subscriptions remain active until the conclusion of the paid billing period.

6. Limitation of Liability

In no event shall Vexari Technologies Inc., its directors, or its affiliates be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the service, including email deliverability fluctuations or recipient responses.

7. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
